Service-Company Partner Agreement
Commercial and data-access terms for service-company distribution partners.
1. Channel role
The partner may invite, sponsor, co-brand, or resell TrapReady to restaurant customers under approved pricing and marketing terms. TrapReady does not replace the partner's dispatch, fleet, or service-management system.
2. Restaurant ownership and consent
The restaurant owns and controls its records. Partner access is limited to restaurant-authorized summaries. Sponsorship, referral attribution, or provider submission does not transfer ownership of restaurant content.
3. Customer representations
Partners must accurately describe TrapReady as a record-management tool and must not promise that the service guarantees legal or regulatory compliance.
4. Wholesale billing
Sponsored active locations are billed at the agreed rate, allowance, invoicing cadence, tax treatment, and payment terms. Manual invoices may be used during pilots. Automated billing begins only after activation in the applicable order.
5. Commissions
Referral commissions apply only when stated in the partner order, are calculated from eligible collected revenue, exclude taxes, refunds, chargebacks, credits, and sponsored wholesale charges, and may be reversed when revenue is refunded.
6. Termination and transfers
Either party may terminate under the order terms. Restaurants retain access according to their own account status and may assume direct billing. The partner must not block export or continuation of restaurant-owned records.
7. Brand and confidentiality
Each party grants only the limited brand use necessary for approved co-branding and must protect confidential commercial, security, and customer information.
